Welcome to TurboHorizon B.V. ("TurboHorizon", "we", "our", or "us"). These Terms of Service ("Terms") govern your use of our website located at turbohorizon.top and our corporate finance consultancy services.

By accessing or using our website and services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access our website or use our services.

TurboHorizon is a Dutch private limited company (Besloten Vennootschap) registered with the Dutch Chamber of Commerce under number KvK 24682657, with its registered office at Lindelaan 215, 2527 AQ The Hague, Netherlands.

Fees and Payment

Fees for our services will be agreed upon before commencement of work and outlined in separate service agreements. Payment terms and conditions will be specified in such agreements.

Unless otherwise agreed, fees are due within 30 days of invoice date. Late payments may incur additional charges as permitted by law. We reserve the right to suspend services for overdue accounts.

Limitation of Liability

To the fullest extent permitted by applicable law, TurboHorizon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to TurboHorizon for the specific service giving rise to the claim during the 12 months preceding the claim.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless TurboHorizon, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

• Your violation of these Terms
• Your use of our services in a manner not authorised by these Terms
• Your violation of any third-party rights
• Any information or content you provide to us

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts of The Hague, Netherlands.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable EU consumer protection laws.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

You may terminate your use of our services at any time by discontinuing use of our website and services. If you have ongoing service agreements with us, termination will be subject to the terms of those specific agreements.

Upon termination, your right to use our services will cease immediately, but all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using our services.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
